    Solution

As per the revised SEBI AIF Regulations in 2025, “large value fund for accredited investors” means an Alternative Investment Fund (AIF) or scheme of an AIF in which each investor (other than the Manager, Sponsor, employees or directors of the AIF or employees or directors of the Manager) is an accredited investor and invests not less than Rs.25 crore (In 2025, this was reduced from Rs.70 crore earlier) Relaxations given to such funds include: • In comparison to 25% in case of Category I and II of AIF, large value funds for accredited investors of Category I and II may invest up to 50% of investable funds in an investee company. • In comparison to 10% in case of Category III of AIF, large value funds for accredited investors of Category III may invest up to 20% of investable funds in an investee company. • Tenure of the close ended AIF for large value funds for accredited investors may be permitted to extend beyond 5 years (increased from 2 years earlier), subject to approval of two-thirds of the unit holders by value of their investment in the AIF.
