Section 24 of the Limited Liability Partnership Act, 2008, permits a partner to resign by giving a notice in writing to the LLP, and once the resignation takes effect the partner ceases to be a partner. The LLP is then obliged to file a notice of the resignation with the Registrar of Companies in the prescribed manner within thirty days of the resignation taking effect, failing which it incurs liability for the default. The thirty-day window was the point tested in the 2025 IBPS paper. Resignation proceeds on the partner's own notice and does not require the consent of the other partners.
